Meta has created a new Class C non-voting share class, giving shareholders one such share for each Class A or Class B share, effective January 19, 2027. The structure doubles share counts without increasing voting power. Under the plan, CEO Mark Zuckerberg can immediately sell 20% of his Class C shares, about 10% of his economic stake, while restrictions on the rest ease over eight years if he remains at Meta. As of October 1, he held 60.6% of voting rights but only 13.4% of the company’s financial assets. The new structure may also support Meta’s AI initiatives; California’s proposed Proposition 40, a one-time 5% wealth tax on qualifying billionaires, is set for a November 3 vote.
